SHERWARE LICENSE AND WARRANTY

NOTICE: SHERWARE LICENSES THE SOFTWARE TO YOU ONLY UPON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS LICENSE AGREEMENT. PLEASE READ THE TERMS CAREFULLY BEFORE INSTALLING THE SOFTWARE, AS INSTALLING THE SOFTWARE WILL INDICATE YOUR ASSENT TO THEM. IF YOU DO NOT AGREE TO THESE TERMS, THEN SHERWARE IS UNWILLING TO LICENSE THE SOFTWARE TO YOU, IN WHICH EVENT YOU SHOULD RETURN THE FULL PRODUCT, INCLUDING MANUALS TO SHERWARE.

The software which accompanies this license (the "Software") is the property of SherWare, Inc. or its licensors and is protected by copyright law. While SherWare continues to own the software, you will have certain rights to use the Software after you acceptance of this license. Your rights and obligation with respect to the use of this Software are as follows:

You may:
" install the program at only one office location.
" make one (1) copy of the program on machine readable form solely for backup purposes, provided that you reproduce all proprietary notices on the copy.
" use the software on a network.

You may not:
" use the program at more than one office location at a time.
" modify, translate, reverse engineer, de-compile, disassemble, or copy (except backup copy) the program or accompanying documentation.
" rent, transfer or grant any rights in any form to any person without the prior written consent of SherWare, Inc. (SWI).

Limited Warranty

SherWare cannot warrant that the software will meet all of your requirements or that operation of the software will be uninterrupted or error free. This warranty covers only normal consumer use. SWI will not be responsible for product failure due to improper maintenance, misuse, abuse, improper electric current, electrical surges or brown outs, improper shipping, theft, fire, flood, lightning, war, other acts of God, or service by other companies.

Limitation of Liability

SherWare shall not under any circumstances be liable for special, incidental, consequential, indirect, or other similar damages arising from breach of warranty, breach of contract, negligence, or any legal theory. SherWare shall not under any circumstances be liable for such damages including but not limited to, loss of profits or revenue, loss of use of the Software, loss of data, costs for recreating lost data, equipment loss, downtime costs, or losses caused by a delay in delivery. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages to the above limitation may not apply to you. In no case shall SherWare's liability exceed the purchase price for the software.
